THIS AGREEMENT (the “Agreement”) COMMENCES UPON OUR ACCEPTANCE OF YOUR ORDER, AND WILL BE BACKDATED TO THE POINT OF THE BOOKING REQUEST

The Client, as per booking details (“Client, the hirer, you, your”)


(The Company and Client are collectively referred to as the “Parties”)


In consideration of the mutual covenants and promises in this Agreement, the receipt and sufficiency of which consideration is hereby acknowledged, Frame Your Day Ltd leases the Equipment to the Client, and the Client leases the Equipment from Frame Your Day Ltd on the following terms:
 

  1. Definitions
    1.1 The term “Equipment” refers to our DJI Pocket 3 4K 3-axis Stabilised Cameras, valued at approximately £480 per camera.
    1.2 “Total Loss” means any loss or damage that is not repairable or would cost more to repair than the market value of the Equipment.
    1.3 “Booking Request” refers to the initial request for service made through our website, at which you will need to accept of our Equipment hire Agreement.
    1.4 “Order” refers to an accepted Booking Request, once confirmed by us.

     

  2. Lease
    2.1 Frame Your Day Ltd agrees to lease the Equipment to the Client, and the Client agrees to lease the Equipment from Frame Your Day Ltd in accordance with the terms set out in this Agreement.

     

  3. Term
    3.1 This Agreement commences upon our manual acceptance of your Booking Request. Prior to payment of the deposit and during the Booking Request process through our website, the Client will be prompted to read and accept the terms outlined in the Equipment hire Agreement.
    3.2 For the purposes of dating the contact, the Agreement will be dated at the time the Booking Request is made through our website, operated at https://www.frameyourday.co.uk (“the Term”).
    3.3 Frame Your Day Ltd will notify the Client if the Booking Request has been accepted, and provide Order details to the Clients email address.
    3.4 If, due to operational reasons, we are unable to accept the Clients Booking Request, Frame Your Day Ltd will notify the Client by email (see Clause 4.2).

     

  4. Rent
    4.1 The Rent for the Equipment, inclusive of VAT, is dependent on the package purchased and ranges from £449 to £499 (“the Rent”). All packages include professional video editing provided by Frame Your Day Ltd.
    4.2 A deposit of £150 is required at the time of making a Booking Request. If the booking is accepted, the Client will be notified by email. If we are unable to accept the booking for operational reasons, we will refund the Clients deposit within 48 hours and notify them by email.
    4.3 The remaining package balance will be invoiced to the Client by email, six (6) weeks prior to the wedding date provided by the Client during the booking process.
    4.4 The Rent must be paid in full by the Client before taking possession of the Equipment.
    4.5 If the balance remains outstanding one (1) week prior to the wedding date, Frame Your Day Ltd reserves the right to cancel the booking and withhold the deposit.

     

  5. Delivery of Equipment
    5.1 Frame Your Day Ltd will, at the Company's expense and risk, deliver the Equipment to the Client’s home address approximately four (4) days prior to the advised wedding date.
    5.2 Frame Your Day Ltd will notify the Client by email of the dispatch and provide courier tracking information.

     

  6. Warranties
    6.1 The Equipment will be checked by Frame Your Day Ltd prior to dispatch and will be in good working order and condition upon delivery.
    6.2 The Equipment will be of merchantable quality and fit for the purpose it is ordinarily used.
    6.3 The Client should inspect the Equipment upon receipt from the courier. Any defects or issues must be reported to Frame Your Day Ltd within twenty-four (24) hours of receipt.
    6.4 If a defect or issue is reported within the timeframe outlined in Clause 6.3, we will replace the defective Equipment within twenty-four (24) hours.
    6.5 Failure to report defects or issues within the timeframe outlined in Clause 6.3 will result in us being unable to replace the Equipment before the advised wedding date. We are unable to offer a partial refund for unused Equipment.

     

  7. Loss and Damage
    7.1 To the extent permitted by law, the Client will be responsible for the risk of loss, theft, damage, or destruction of the Equipment from any cause.
    7.2 If the Equipment is lost or damaged, the Client must provide Frame Your Day Ltd with prompt written notice via email. In the event of theft, the Client must report it to the police and obtain a crime reference number within twenty-four (24) hours.
    7.3 At the end of the Term, if any Equipment is lost or damaged, the Client will be obliged to pay the following excess upon return of the remaining Equipment:
        7.3.1 £50 per piece of Equipment for damage deemed repairable.
        7.3.2 £400 per piece of Equipment deemed to be a Total Loss (see Clause 1.2).
    7.4 If an excess is due, the Client will be invoiced by email and given twenty-eight (28) days to pay the outstanding balance. We reserve the right to take legal action if the balance remains unpaid.

     

  8. Ownership, Right to Lease, and Quiet Enjoyment
    8.1 The Equipment is the property of Frame Your Day Ltd and will remain so throughout the rental Term.
    8.2 Frame Your Day Ltd warrants that it has the right to lease the Equipment according to the terms of this Agreement.
    8.3 Frame Your Day Ltd warrants that if the Rent has been paid in full at the time of taking possession of the Equipment, it will not disturb the Client’s quiet and peaceful possession or unrestricted use of the Equipment for its intended purpose.

     

  9. Return of Equipment
    9.1 At the end of the Term or upon earlier termination of this Agreement, the Client will return the Equipment to Frame Your Day Ltd, 11 Southways, Stubbington, PO14 2AG.
    9.2 The Client agrees to begin return shipment of the Equipment within two (2) days of the advised wedding date.
    9.3 The cost of returning the Equipment will be at the Company’s expense, and a prepaid postage label will be included in the original order.
    9.4 The Client agrees to follow the shipping instructions provided, using only the approved shipment provider designated by Frame Your Day Ltd.
    9.5 If the Client fails to return the Equipment at the end of the Term, Frame Your Day Ltd reserves the right to charge a £75 late return fee, as well as any excesses outlined in Clause 7.3.2 that might be applicable.

     

  10. Right to Cancellation
    10.1 The Client has the right to cancel their Order without giving notice or reason, within the first 14 days after purchase. Under consumer protection legislation, this is known as the ‘Cooling Off Period’.
    10.2 This cancellation period will end 14 days from the date your Booking Request is accepted by Frame Your Day Ltd.
    10.3 After this ‘Cooling Off Period’, our standard cancellation policy will apply;
        10.3.1 If you wish to cancel your order and your wedding is more than 6 months from the date of cancellation, we will issue you a full refund of your deposit.
        10.3.2 Cancellations between 6 months and 6 weeks prior to the advised wedding date, we offer a 50% refund of your deposit amount.
        10.3.3 Cancellations less than 6 weeks prior to the advised wedding date will result in the loss of your deposit.

  11. Indemnity
    11.1 The Client will indemnify and hold harmless Frame Your Day Ltd against any and all claims, actions, lawsuits, proceedings, costs, expenses, damages, and liabilities, including solicitors' fees and costs, arising out of or related to the Client’s use of the Equipment.

     

  12. Payments
    12.1 All amounts in this Agreement are in Pound Sterling (£), and all payments required under this Agreement will be made in Pounds Sterling.

     

  13. Our Responsibility for Loss or Damage Suffered by You
    13.1 While we are responsible for any losses you suffer caused by our breach of this Agreement, we are not liable for losses that are unexpected, avoidable by you, or caused by events outside our control.

     

  14. General Terms of our Video Editing Service
    14.1 Final videos will be delivered to the Client within 10 weeks, though we do not guarantee a fixed delivery date within that period.
    14.2 We cannot make further changes or re-edits to the final videos once they have been delivered.
    14.3 We are not responsible for delays in delivering your videos that are beyond our control (including, but not limited to, natural disasters, terrorism, pandemics). While we will notify you as soon as possible, we cannot provide compensation for such delays.
    14.4 As we do not capture the footage ourselves, we are not responsible for the content quality or quantity. If there is insufficient usable footage, your final videos may be shorter or of limited quality. We reserve the right to exclude offensive or controversial content from the final video.
    14.5 We are not liable for data loss or corruption of footage arising from memory card or hard drive failures.

     

  15. Intellectual Property
    15.1 Except for third-party material such as music and sound effects, which may be incorporated into the videos, the Client owns the intellectual property rights to the final footage.
    15.2 Due to ownership restrictions on any music included, the videos are intended exclusively for the Client’s personal use. Public sharing or distribution of the video containing music may require a music licence and will be subject to the terms and conditions of any third-party platform where it is uploaded, such as Facebook, Instagram, TikTok, etc. It is the Client’s responsibility to ensure compliance with these usage restrictions.

     

  16. Marketing and Advertising
    16.1 By accepting this Agreement, the Client grants Frame Your Day Ltd unrestricted permission and licensing rights to use footage from the Client’s videos on our website and for promotional and marketing purposes on our social media channels. You have the right to opt out of this by notifying our customer service team in writing.
